These Terms of Service (the "Terms") form a binding agreement between you and Ravn Technologies Ltd ("Ravn", "we", "us"), a company registered in England & Wales (company no. [number], registered office [address]). By joining the waitlist, creating an account, or using our website or app (the "Service"), you confirm you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and resident in the United Kingdom, and able to form a binding contract, to use the Service.

3. What Ravn is — and is not

Ravn helps you understand your own bills, coaches you to negotiate them, helps you compare and switch providers, forecasts what is "safe to spend" before payday, and shows your net worth. Ravn is not a bank, building society, e-money or payment institution, and is not a financial, debt, mortgage, tax, insurance or investment adviser. Nothing in the Service is regulated financial advice or a personal recommendation. We provide information and tools; you make your own decisions and are responsible for them.

4. No guarantee of savings or outcomes

All figures, estimates, "safe-to-spend" forecasts, scores and potential savings are illustrative and not guaranteed. Outcomes depend on your circumstances and your Providers, who may decline a discount, deal or switch. Forecasts rely on data available to us and may be incomplete or out of date.

If you connect a bank account, you do so through an FCA-authorised Open Banking provider on a read-only basis, under the separate Open Banking Consent Notice. You give explicit consent that you may withdraw at any time. We can never move your money.

8. How we make money & referral fees

We charge a flat subscription and never take a cut of what you save. When you choose to switch Provider, we may receive a referral or commission fee from that Provider. Such fees are always disclosed and never change what we suggest to you.

9. Acceptable use

You agree not to: use the Service unlawfully or fraudulently; access or attempt to access another person's data; reverse-engineer, copy, scrape, or create derivative works; introduce malware; overload or disrupt the Service; use it to breach your Providers' terms; or resell or commercially exploit it without our consent.

10. Third-party providers

The Service relies on third parties (Open Banking provider, payment processor, switching partner, hosting). We are not responsible for their acts or omissions or for the products/terms of Providers you switch to. Your use of third-party services may be subject to their own terms.

11. Intellectual property

Ravn and its name, logo, designs, software and Content are owned by us or our licensors and protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not use our brand without permission. Provider names and logos are trademarks of their owners; we are not affiliated with, endorsed by, or partnered with them unless stated.

12. Availability

We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may modify, suspend or withdraw features, with notice where reasonable.

13. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we exclude implied warranties. This does not affect your statutory rights as a consumer, including that services be provided with reasonable care and skill under the Consumer Rights Act 2015.

14. Our liability

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under your non-excludable statutory consumer rights.

Subject to that, we are not liable for: losses that were not foreseeable; loss arising from decisions you make based on Content; loss arising from a Provider declining a discount, deal or switch; or indirect or consequential loss. Where we are liable, our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and [£100]. We are not liable for business losses (the Service is for personal, non-commercial use).

15. Indemnity

You agree to indemnify us against reasonable losses arising from your breach of these Terms or your unlawful use of the Service, to the extent permitted by law and save where caused by us.

16. Suspension & termination

You may stop using the Service and close your Account at any time. We may suspend or terminate access if you materially breach these Terms, or where necessary to protect the Service, other users, or to comply with law. On termination, your licence ends; provisions that by nature should survive (e.g. liability, IP) continue.

17. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control (e.g. outages of banks or third-party providers, internet failures, acts of government).

18. Changes to these Terms

We may update these Terms. We will post the updated version with a new date and, for material changes, notify you in-app or by email at least [14] days in advance where practicable. Continued use after changes take effect means you accept them; if you do not, you may close your Account.

21. Governing law & jurisdiction

These Terms and any dispute relating to them are governed by the laws of England & Wales, and subject to the non-exclusive jurisdiction of the courts of England & Wales. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your local courts and rely on mandatory local consumer protections.
